INTRODUCTION

Scope: These Terms of Use (“Terms” or "ToU") govern your access to and use of the MottoFlip (“MottoFlip” or “Platform” or “Our/We/Us”) including the website www.mottoflip.com, and related services made available through or in connection with the MottoFlip Platform ("Services "), operated by Meta Materials Circular Markets Private Limited (“MMCM/Company”). By accessing, browsing, or downloading any content from the Platform, you agree to be bound by these ToU. If you do not agree to these terms, you must not use or access the Platform or the Services.

Individual and Organizational Use: If you are an individual, you confirm that you are of legal age in your jurisdiction to enter into this agreement. If you are using the Platform on behalf of a corporation, partnership, or any other entity, you represent that you have the legal authority to bind that organization to these ToU. References to "you" and “your” apply to both the individual user and the organization they represent.

Prohibited Activities: The scraping of data or content from this Platform is strictly prohibited. We reserve the right to take legal action against any unauthorized activities, including but not limited to scraping.

Additional Terms: These ToU, along with any additional terms, policies, or agreements posted on the Platform or provided in connection with the services, constitute the complete agreement between you and MottoFlip. You may request copies of such documents by contacting the Company with a detailed written request.

Acceptance: By using the Platform, you acknowledge that you have read, understood, and agree to these ToU, as well as all applicable laws and regulations.

Modification of Terms: We reserve the right, at its sole discretion, to modify or remove any part of these ToU at any time without prior notice and it shall be in effect as soon as it is updated on the Platform. Continued use of the Platform/Services after any changes, whether explicitly noted on the Platform or not, constitutes your acceptance of the revised ToU. We recommend that you read these ToU carefully every time you use the Platform. If you do not agree, you may not access or use the Platform.

PLATFORM CONTENT

Applicability: These ToU apply to www.mottoflip.com, and any other Services made available through or in connection with the MottoFlip Platform, whether operated by the MottoFlip or its authorized partners. The Platform may be managed by its subsidiaries, parent companies, or authorized partners as confirmed in writing. Some Services may have additional or different terms of use. By accessing or using any such Services, you agree to the terms governing that specific Service. Your access to the Services constitutes acceptance of the terms applicable to that Service.

Information Purpose: All content made available on or through the Platform, including text, images, graphics, logos, videos, and downloadable materials is provided for informational purposes only. No representations or warranties about the accuracy, completeness, or reliability of any content available on the Platform, including the content of third-party links.

Content Updates: We reserve the right to modify, update, or remove any content or links on the Platform at any time without prior notice.

Use at Your Own Risk: Your use of the Platform and its content is at your own risk. We will not be held liable for any errors or omissions in the content or for the availability of the content.

USE OF PLATFORM

Lawful Use: You may use the Platform solely for lawful purposes and in a manner that does not infringe upon the rights of others, disrupt the Platform, or violate applicable laws and regulations.

Prohibited Activities: You agree not to:

  • Use the Platform for any illegal purpose or violate any applicable laws.
  • Engage in any activity that disrupts or interferes with the Platform’s operations.
  • Attempt to gain unauthorized access to the Platform or its systems.

PURPOSE OF THE PLATFORM

Scope of Service: The Platform is a dedicated digital interface designed to facilitate the seamless sourcing, onboarding, coordination and facilitation of transactions relation to End-of-Life Vehicles (“ELVs”) between vehicle owners, sourcing partners, dealer and authorized Registered Vehicle Scrapping Facilities (“RVSFs”), as applicable. This Platform functions as a structured, compliant, and technology-driven environment within the broader ecosystem operated by the Company, with the objective of enabling transparent, traceable, and legally compliant ELV sourcing, scrapping, and related transactions.

The primary services offered through the Platform may include the following:

Prebuy Request Facilitation: The platform enables eligible and registered users, including sourcing partners and/or dealers, as applicable, to initiate prebuy offers by submitting relevant ELV details. These offers are shared with vehicle owners or other relevant users for review and potential acceptance.

Customer-Sourcing Partner/Dealer Engagement: The platform serves as a secure communication and transaction channel between ELV owners and authorized sourcing partners, dealers and/ or other relevant participants, minimizing the need for offline coordination and facilitating transparent and traceable engagement.

Pricing & Offer Management: The Platform may ensure eligible sourcing partners and /or dealers to propose prices for ELVs, and owners have the autonomy to accept or reject these offers, subject to the applicable transaction process, verification and Customer Authorization requirements.

OTP-Based Offer Confirmation: Where applicable, accepted offers or customer authorization may be verified through an OTP (One-Time Password) mechanism to confirm the user’s intent and to authenticate the transaction.

Trade Execution & Fund Management: Where applicable to a particular transaction, the Platform may facilitate the process for payment, deposit or transfer of the applicable transaction amount in accordance with the applicable transaction terms and procedures. The Platform may also facilitate coordination and tracking of the transaction until completion.

Documentation & Compliance Tracking: The platform maintains digital records of the entire transaction lifecycle, including onboarding information, Customer Authorizations, transaction status, applicable documentation, Certificate of Deposit (“CD”) and/or other relevant scrappage or compliance records, as applicable.

End-to-End Transaction Visibility: Eligible users may be provided with updates regarding request status, transaction progress, documentation, scrappage status and other relevant information, as applicable to the Services being used.

No Liability: We facilitate and provide Services in relation to sourcing, onboarding, coordination and transaction management through the Platform, however, unless expressly agreed otherwise, we do not act as the owner, buyer, seller, dealer, sourcing partner, RVSF or principal to any underlying ELV transaction. We are not responsible for any acts, omissions, representations, warranties, defaults, delays, disputes, misunderstandings, or conflicts arising between users or other participants in an underlying transaction, except to the extent directly attributable to our breach of these ToU or any liability that cannot be excluded under Applicable Law. Users acknowledge and accept full responsibility for their interactions, representation, obligation and agreements with other users.

Informational: The materials on the Platform are provided solely for informational purposes and should not be interpreted as a commercial offer, a license, or the basis for any advisory, fiduciary, or professional relationship between you and MottoFlip. Any information provided through the Platform should not be treated as a substitute for conducting your own independent investigation. The content on the Platform may not be used for commercial purposes, nor to develop or infringe upon the Company businesses in any manner.

ACCOUNT OBLIGATIONS

Before using the Platform/Services, we request you to read the ToU carefully. By using the Platform , you acknowledge that you have read, understood and agreed to these ToU and the applicable policies of MottoFlip . Once you become a user of the Platform , you will automatically enter into a contract and acknowledge that you have read and accepted the agreement, which will apply to your use of our Platform.

When using the Platform , you are responsible for maintaining the confidentiality of your Display Name, Username, and Password. You are also fully accountable for all activities that occur under your account credentials. If you provide any information that is false, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect that such information is false, inaccurate, outdated, or incomplete, we reserve the right to indefinitely suspend, terminate, or block your access to the Platform . Additionally, any such action on your part may have legal consequences, including civil and criminal liability. Furthermore, you agree to indemnify us for any losses incurred as a result of any false, defamatory, libelous, vulgar, obscene, fraudulent, or otherwise objectionable content posted by you on our platform.

REGISTERED USERS

For the purposes of these Terms of Use, Registered Users are individuals or legal entities who have successfully created an account on the Platform and completed the mandatory verification process as prescribed by the Company. Registration grants the user access to specific Platform features based on their user type and permissions.

Registered Users on the Platform may include, but are not limited to:

  • Authorized Dealers: Individuals or businesses that are approved to operate as intermediaries for sourcing End-of-Life Vehicles (ELVs) from vehicle owners. These users have completed dealer verification and where applicable are permitted to initiate prebuy requests, deposit funds, and engage in ELV trades.
  • Vehicle Owners (Sellers): Individuals who own ELVs and wish to sell them through the platform. While they may not require full platform registration to receive offers, certain actions (e.g., OTP verification) may classify them as limited-scope registered users.
  • Registered Vehicle Scrapping Facilities (RVSFs): Government-authorized scrappage centers that may be involved in post-trade logistics, ELV scrappage, CD issuance, and coordination with relevant Platform participants. They may be given platform access for coordination, document submission, and compliance tracking.
  • Platform Administrators and Compliance Partners: Designated personnel involved in platform governance, compliance review, transaction monitoring, and fraud prevention. Their access is managed by Company and is restricted to administrative functions.

Each registered user is assigned a unique digital identity (User ID ) and is responsible for maintaining the confidentiality of their login credentials. Access to the platform is non-transferable and may be revoked at Company discretion in case of misuse or non-compliance with platform terms and conditions.

To become a Registered User of our Platform, you must follow the registration procedure defined by us. This ensures seamless login and logout access to your account.

An individual can register by filling out an online registration form on the Platform and providing the required details, including name, contact information, and business details. Upon successful registration, we will establish an account ("Account") for the user and assign a user alias ("User ID") and password ("Password") for secure login access.

The Platform may provide messaging, notification or other communication functionalities, where applicable for facilitating communication relating to the Services. If assigned, this Platform will have limited storage space for sending or receiving messages. Users are solely responsible for the content of all messages sent or received through the Platform, including any consequences arising from such communication.

By registering on the Platform and providing your email or mobile number, you expressly consent to receive promotional content from the MottoFlip via email or SMS. If you provide your phone number at any stage of using the Services, we may contact you via calls or SMS notifications for promotional purposes. If you wish to opt out of such communications, you may notify us at any time. However, transactional communications related to your account and services will continue as necessary.

If you register on behalf of a business entity, you confirm that:

  • You represent the business entity.
  • You have the legal authority to bind the entity to the Terms of Use and/or this Agreement.
  • The address provided during registration is the principal place of business for the entity.

All other information submitted on the Platform during the registration process must be true, accurate, current, and complete.

LINKS TO THIRD-PARTY WEBSITES

Convenience Links: This Platform may contain links to third-party websites. Links to third-party websites are provided solely for your convenience and do not imply any approval or endorsement by us, even if they display MottoFlip’s logo or logo belonging to any of the vertical operated by MMCM. These sites may be beyond our control, and therefore, we cannot be held responsible for the content of any linked site or for any links contained within those sites. We are not responsible for the content, privacy practices, or terms of use of those websites.

Access at Your Own Risk: Accessing third-party sites is at your own risk. You should take precautions against viruses, worms, and other potentially harmful programs that may be present on third-party websites. Additionally, you are responsible for reviewing and complying with the terms of use that apply to these third-party sites.

Prohibited Framing: You acknowledge that framing the Platform or using similar processes is prohibited.

SOFTWARE

Any software made available to operate this Platform and/or to download materials from it (the "Software") is the copyrighted work of MottoFlip and/or its associates. You are licensed to use this Software on a non-exclusive basis solely for the purpose of visiting the Platform and/or downloading materials from it. You may use the Software only for this purpose. Under no circumstances, you shall redistribute, sell, disassemble or otherwise deal with the Software.

INTELLECTUAL PROPERTY RIGHTS

Ownership: All intellectual property on the Platform is protected, including but not limited to trademarks, logos, copyrights, design rights, and sui generis rights of database producers, and is the exclusive property of MottoFlip brand or its licensors. You may not use, reproduce, distribute, or exploit any content from the Platform without prior written permission from us.

Protected Materials: All materials on the Platform , including but not limited to texts, data, graphics, images, sounds, videos, logos, icons, and HTML code, are protected under intellectual property law and remain the property of MottoFlip brand or licensors .

Personal Use: You may copy, download, and print materials from this Platform for personal and non-commercial purposes only, in accordance with applicable intellectual property laws. When doing so, you must include the MottoFlip brand name on all downloaded materials. Any such actions must comply with the laws of India, under the jurisdiction of Mumbai, Maharashtra, India.

Prohibited Modifications: You must not modify any material copied, downloaded, or printed from the Platform in any way. Any other use of the Platform’s content without prior written authorization from MottoFlip brand is prohibited. Non-compliance with these prohibitions may constitute infringement of intellectual property rights, counterfeiting and/or unfair competition, leading to potential civil and/or criminal liability.

Trademark Usage: A list of MottoFlip brand registered trademarks, logos, and other copyrighted materials is available at the Company’s corporate office or may be made available through the Platform upon written request. All other trademarks that appear on the Platform, which are not owned by MottoFlip or the Company, belong to their respective owners, who may or may not be affiliated with, connected to, or sponsored by us. Specific authorization is required to use any trademarks owned by MottoFlip brand, the Company, or any third party for any purpose.

USER CONTENT GUIDELINES

Information, documents, photographs, vehicle details, transaction-related information, or other materials submitted or uploaded by users on or through Platform (“User Content”) must not:

  • Contain fraudulent information, make fraudulent offers of items, or involve the sale or attempted sale of counterfeit, stolen, or prohibited items as per applicable law, or promote illegal activities.
  • Be part of a scheme to defraud other users or for any other unlawful purpose.
  • Infringe upon third-party rights, including but not limited to copyright, patents, trademarks, trade secrets, publicity rights, privacy rights, or any other intellectual property or proprietary rights.
  • Violate any applicable laws, statutes, ordinances, or regulations (e.g., motor vehicle, consumer protection, unfair competition, anti-discrimination, false or misleading representations, and any other applicable regulatory requirements).
  • Be defamatory, libelous, threatening, or harassing.
  • Contain material that constitutes unauthorized advertising or harassment (including spamming), invades anyone’s privacy, or encourages conduct that would constitute a criminal offense, civil liability, or violation of any law.
  • Contain any viruses or malicious code designed to damage, interfere with, intercept, or expropriate any system, data, or personal information.
  • Link directly or indirectly to, or include descriptions of, goods or services that are prohibited under prevailing law.

MottoFlip shall not be deemed to have entered into any sales, agency, partnership, employment, or other similar relationship with any user or third party merely by displaying, transmitting, storing, or facilitating access to User Content through the Platform.

We reserve the right to review, restrict, suspend, remove, or disable access to any User Content that we reasonably believe violates these ToU, Applicable Law, or the rights of MottoFlip, MMCM, or any third party.

ABUSE & THREAT POLICY

At MottoFlip, we prioritize professional, respectful, and courteous communication between users, especially through communication channels made available through or in connection with the Platform or private channels like email. While we do not regulate private communications occurring outside the Platform such as email, we take certain types of misuse or abuse very seriously.

Below are the instances of e-mail and other communication abuse that are not tolerated on our Platform:

  • Users are strictly prohibited from sending emails or doing communication that contain explicit threats of bodily harm or violence. We do not permit any form of communication that threatens or endangers another individual.
  • Our communication tools are designed to facilitate legitimate business interactions. Any misuse of these tools, including manipulation or exploitation of the system, is subject to investigation and potential disciplinary action.
  • We will never request sensitive information (such as passwords, payment details, etc.) via email or communication channel of MottoFlip. If you receive any suspicious or spoof emails claiming to be from MottoFlip brand or the Company, we urge you to report them immediately through our "Contact Us" page.
  • Our Platform strictly prohibits users from sending unsolicited commercial emails (spam) to other users. Spamming is not only disruptive but also violates the acceptable use of our system. Users found sending unsolicited commercial messages will face disciplinary action.

Reporting Abuse: If you encounter any form of e-mail, message or other communication abuse or violations of this policy, we encourage you to report the incident immediately. We are committed to investigating and addressing any issues swiftly to maintain a safe and respectful environment for all users.

SOCIAL MEDIA POLICY

Acceptable Conduct: You agree to use our social media accounts in a respectful, responsible, and ethical manner. Your use of our social media platforms is subject to the terms of service, privacy policies, and other guidelines of those platforms.

Prohibited Conduct: You agree not to:

  • Harass or abuse others: Engage in any form of harassment, abuse, threats, or intimidation.
  • Post harmful content: Share content that is hateful, discriminatory, offensive, or harmful to others.
  • Violate laws: Engage in any illegal or unauthorized activity.
  • Spam: Send unsolicited messages or spam.
  • Violate intellectual property: Infringe on the intellectual property rights of others.
  • Promote harmful or illegal activities: Encourage or promote harmful or illegal activities.
  • Misrepresent yourself: Impersonate another person or entity.

External Content

While we may share or link to external content on our social media platforms, we do not endorse, control, or guarantee the accuracy, completeness, or reliability of such content. You are responsible for assessing the credibility and relevance of any external content you encounter.

Privacy and Data Collection

Your use of our social media platforms may involve the collection and processing of your personal information. Please refer to the privacy policies of the respective platforms for details on how your data is collected, used, and protected.

Copyright and Intellectual Property

Any copyrighted or intellectual property content shared on our social media platforms is subject to the applicable copyright and intellectual property laws. We do not claim ownership of any content shared by others on our social media pages.

Disclaimer of Liability

We are not responsible for the actions, content, or privacy practices of the social media platforms we link to. We disclaim any liability for any damages or losses arising from your use of or reliance on any content or information found on our social media platforms.

Termination and Suspension

We reserve the right to remove any content that violates these guidelines on our social media platforms and to suspend or terminate your access to our accounts if you repeatedly violate these rules. We may also cooperate with law enforcement authorities in investigating any illegal activity.

BANK APPROVALS AND REGULATORY COMPLIANCE

The Platform has obtained all necessary approvals and licenses from relevant banking and financial institutions to operate its payment processing services. The Platform complies with all applicable laws, rules, and regulations.

Applicable payment processing is carried out through authorised third-party payment providers, where used. MottoFlip does not represent that it is itself a bank, payment system operator, or regulated financial entity unless separately stated.

PAYMENT PROCESSING DISCLAIMER

While we strive to provide a seamless payment experience, we cannot be held responsible for any errors, delays, or failures in payment processing that may occur due to factors beyond our control, including but not limited to:

  • Third-Party Payment Processors: We rely on third-party payment processors to handle transactions. Any issues or errors arising from these third-party services are beyond our control.
  • Bank or Card Issuer Issues: Problems with banks or card issuers may result in payment processing delays or failures.
  • Technical Issues: Technical difficulties or system failures may temporarily disrupt payment processing.
  • Force Majeure Events: Events such as natural disasters, cyberattacks, or other unforeseen circumstances may impact payment processing.

USER’S PAYMENT ARRANGEMENT WITH ISSUING BANK

All valid credit, debit, cash cards, and other payment instruments used on the Platform are processed through a secure payment gateway or an appropriate payment system infrastructure. These transactions are subject to the terms and conditions agreed upon between You/User and the respective issuing bank or payment instrument provider. All online bank transfers from valid bank accounts are processed through the payment gateway provided by the respective issuing bank, which enables the payment facility to offer these services to you. Such online bank transfers are governed by the terms and conditions agreed upon between you and the respective issuing bank.

PAYMENT SECURITY

We prioritize the security of your payment information. We maintain strict data protection policies and procedures to protect your personal and financial information from unauthorized access, disclosure, or misuse. By implementing these security measures, we strive to provide a secure and trustworthy experience.

DISCLAIMERS

We reserve the right to change information or other content available on the Platform at any time.

No Guarantee of Results: We don't guarantee specific outcomes from using Platform, Services, or any materials available through the Platform. You are solely responsible for how you use them, and your use of the Platform is at your own risk. You must comply with all applicable laws and regulations. The information does not alter any warranties you may have under a separate contract with MottoFlip brand or the Company.

LIMITATION OF LIABILITY

You assume full responsibility and all associated risks for using this platform and the Internet in general. To the maximum extent permitted under Applicable Law, under no circumstances shall we, our affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to your use of the platform or any linked sites.

This includes, but is not limited to:

  • Loss of use, data, or profits
  • Business interruptions or work stoppages
  • Loss of goodwill or reputation
  • Security breaches, viruses, or cyberattacks
  • Computer failures or system malfunctions

This limitation applies regardless of the form of action, whether based on contract, negligence, tort, strict liability, or any other legal theory, even if we were advised of the possibility of such losses.

MottoFlip/MMCM shall not be held liable for any losses, damages, or claims arising from fraudulent activities or misconduct by users or third parties. Users are responsible for ensuring the accuracy of all information provided to MottoFlip/MMCM, and MottoFlip/MMCM reserves the right to take appropriate action, including suspension or termination of accounts, in case of suspected fraud or illegal activities.

MottoFlip/MMCM will not be held liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, arising from the use of the Platform or services, even if MottoFlip/MMCM has been advised of the possibility of such damages.

While we strive to ensure the accuracy, completeness, and timeliness of all content, we make no warranties regarding its reliability. It is solely your responsibility to verify any information before relying on it. We acknowledge that content may contain technical inaccuracies or typographical errors, and we reserve the right to make changes or updates at any time.

SEVERABILITY

If any term in these ToU is held to be invalid, illegal, or unenforceable for any reason, such invalidity, illegality, or unenforceability shall not affect the validity of any other provision of these Terms of Use.

WAIVER

The failure of MottoFlip to exercise, or any delay in exercising, a legal right or remedy provided by these Terms of Use or by law shall not be considered a waiver of MottoFlip’s right or remedy. Additionally, if we waive a breach of these Terms of Use, it shall not operate as a waiver of any subsequent breach.

INDEMNIFICATION

By using the Platform, you agree to indemnify and hold harmless MottoFlip, its affiliates, subsidiaries, owners, officers, directors, agents, and employees from and against any and all claims, damages, liabilities, losses, expenses (including reasonable attorneys' fees), or penalties arising out of or related to:

  • Your use of the Platform or Services, or any violation of these ToU, Privacy Policy, or other Policies.
  • Any content or material you upload, post, or transmit, including but not limited to booking, creating account, etc.
  • Your breach of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual obligations.
  • Your violation of any applicable laws, rules, or regulations in connection with your use of the Platform or Services.
  • Any unauthorized or improper use of the Platform by you or anyone accessing the Platform using your account.

MMCM processes all transactions and user data based on the information received from third-party sources. MMCM is not responsible for any inaccuracies, errors, or omissions in the data provided by third parties. If any discrepancies or issues arise from third-party information, MMCM will process the data as received, and will not be liable for any errors, losses, or damages resulting from such discrepancies. Users agree to indemnify MMCM against any claims related to third-party errors or fraudulent activities.

GOVERNING LAW AND JURISDICTION

These Terms of Use are governed by and construed in accordance with the laws of India. Any disputes arising from these ToU will be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. Any controversy or claim arising out of or related to these Terms of Use shall be governed by Indian law. The courts of Mumbai, Maharashtra, India, will have exclusive jurisdiction.

We believe that the establishment of trust and privacy is instrumental to the continued growth of the Internet. We also believe that the efficient collection, use, and transfer of information enhance the development of the Internet and electronic commerce, provided that such information is handled in a fair and responsible manner.

TERMINATION

We reserve the right to terminate or suspend your access to the Platform for any violation of these ToU or other unlawful activity.

We have the right to temporarily or permanently terminate membership of any user for any of the following reasons, including but not limited to:

  • If we conclude that the user has provided any false information in connection with the account or any transaction, or is engaged in fraudulent or illegal activities.
  • If the user utilizes Platform to send spam messages or repeatedly submit false, misleading or unauthorized information.
  • If the user impersonates or unlawfully uses another business’s name to post information or conduct business of any form.
  • If the user has any unauthorized access, use, modification, or control of the Platform, its data base, network or related services.
  • If the user obtains by any means, or attempt to obtain, another user’s, user name and/or password.

In cases of serious violations such as non-payment of any services, financial misconduct, fraud, contract violations, material breaches, or any other reason specified in this policy or agreement, MMCM may suspend or blacklist your access to the Platform. We will notify you of any suspension or blacklisting, and provide a 45-day period for you to resolve the issue. If the breach is not remedied within the cure period, a suspension may last up to 60 days or blacklisting may be imposed for a period of up to 12 months. During this time, you will not be able to access any MMCM services.

If you access or use the Platform or services through a third party, or under a different name, all associated accounts may be suspended or blacklisted, and the same process will apply to those accounts.

If you dispute the suspension or blacklisting, you may submit an appeal within 15 days of the notice, and we will review the case fairly and provide a final decision.

MAINTENANCE AND SYSTEM FAILURES

We may also suspend the operation of the Platform or any of the Services for support or technical upgradation, maintenance work, security measures, system improvement, in order to update the content or for any other reason.
